Earlier this week I shared reflections on board effectiveness and the role of independent review. Today, I want to step back from the formal structure and speak more personally about what I have genuinely learned from spending so much time in boardrooms.
Over the past few years, I have had the privilege of attending hundreds of board and committee meetings across different sectors and organisational structures. Some have been highly regulated financial services entities, others privately owned or entrepreneurial businesses navigating growth. Each board is different in tone and personality, yet certain patterns appear time and time again.

- Structure is usually strong. Behaviour tells the real story – Most boards are well organised. Terms of reference are clear. Agendas are structured. Board packs are detailed. Risk registers are maintained. On paper, governance appears robust. What differentiates the strongest boards is behaviour. Does the Chair draw out quieter directors? Are Non-Executive Directors comfortable challenging management? Is time protected for forward-looking strategy? Are actions consistently tracked? Effectiveness is rarely about whether a document exists. It is about how well the board uses its time, information and collective experience.
- High-performing boards are self-aware – The most impressive boards share a common trait. They are curious about their own performance. They question whether they are focused on the right priorities. They consider whether the skills around the table reflect the next phase of the business. They treat succession as a live governance issue. They understand that improvement is continuous rather than corrective. Boards that welcome independent perspective tend to do so with quiet confidence.
- Comfortable boards can gradually drift – Some boards function smoothly for years. Meetings are efficient and relationships collegiate. That stability is valuable. Yet comfort can reduce constructive tension. A dominant voice may shape outcomes more than intended. Committee reports may be noted rather than debated. Strategic assumptions may not be revisited frequently enough. Actions may be agreed but inconsistently tracked. These issues are subtle and develop gradually, which is precisely why they can be difficult to see from within. Independent review often brings these themes into focus early.
