About the opportunity

Different experience. Shared standards.

Virteffic provides governance, company secretarial and board support services to organisations across Jersey, Guernsey and beyond.

Our work involves supporting boards, committees and governance teams across different sectors and structures.

We are interested in professionals who already have relevant governance or company secretarial experience and who are comfortable taking ownership of work appropriate to their capability.

Rather than recruiting against one narrowly defined job description, we want to understand your strengths, experience and the type of work you would like to undertake.

The work

The work you could undertake

The balance of responsibilities will depend on your experience, the level of appointment and the needs of our clients.

Governance & company secretarial delivery

  • Managing board and committee meeting cycles
  • Preparing and reviewing agendas, papers and meeting packs
  • Drafting and reviewing board and committee minutes
  • Maintaining governance records, actions and documentation
  • Supporting company secretarial processes and requirements
  • Coordinating deadlines and follow-up actions

Professional judgement & client support

  • Working directly with directors and client stakeholders
  • Identifying and escalating governance matters appropriately
  • Reviewing documentation for accuracy and completeness
  • Supporting governance reviews and improvement projects
  • Contributing to quality assurance and team knowledge sharing
  • Taking ownership of more complex work where appropriate

Not every role involves every task. We will discuss the likely balance of responsibilities with candidates based on their experience and the opportunities available.

What we’re looking for

Experience matters. So does judgement.

We are looking for professionals who understand the responsibilities involved in governance and company secretarial work and who can contribute with appropriate independence.

Relevant professional experience

Experience in governance, company secretarial services, board or committee support, or a closely related professional environment.

Strong written communication

The ability to prepare clear, accurate professional documentation and communicate appropriately with colleagues and clients.

Organisation and reliability

Confidence managing deadlines, competing priorities and the practical requirements of client assignments.

Sound professional judgement

The ability to recognise governance considerations, understand the limits of your experience and escalate matters appropriately.

Confidentiality and discretion

A clear understanding of the standards required when handling sensitive board, governance and client information.

Independent and collaborative working

Comfortable taking ownership of assignments while communicating openly and supporting colleagues across the team.

Level of appointment

Officer or Senior Officer?

We are considering candidates at different levels of experience. The eventual appointment will reflect professional capability, independence and the responsibilities to be undertaken.

Governance and Secretarial Officer

This level may suit someone with relevant governance or company secretarial experience who can manage defined responsibilities reliably and is continuing to develop technical expertise and professional judgement.

The emphasis may be on delivering assigned work accurately, coordinating governance requirements and developing independence across a broader range of client assignments.

Senior Governance and Secretarial Officer

This level may suit someone with established governance or company secretarial experience who is comfortable taking greater ownership of client delivery and more complex work.

Depending on the appointment, this could include reviewing work, managing client relationships, exercising greater professional judgement and supporting colleagues.

We are more interested in what you can do, the judgement you bring and how you work than in matching a particular number of years of experience to a job title.
